Shareholders and General Meeting of Shareholders (GMS)

The GMS serves as both the owner of capital and the holder of supreme authority within the company. The GMS serves as a formal forum for strategic decision-making that is not delegated to the Board of Directors or Board of Commissioners, such as amending the articles of association or approving the annual report.

Board of Commissioners

The Board acts as the company's supervisory body, responsible for general oversight of the Board of Directors' management policies. The Board of Commissioners also provides strategic advice to ensure the company's business direction remains aligned with shareholder interests.

The executive body is fully responsible for the day-to-day operations and management of the company's business. The Board of Directors is responsible for leading the company, establishing business strategies, and representing the company both inside and outside the courts, in accordance with the articles of association.

This supporting committee, under the coordination of the Board of Commissioners, is tasked with assisting with independent oversight. This committee monitors the effectiveness of the internal control system, legal compliance, the integrity of financial statements, and the performance of the external auditor.

Acting directly under the Board of Directors, the Internal Audit Unit (SPI) conducts operational and compliance evaluations. The Internal Audit Unit (SPI) is tasked with assessing the efficiency of governance in the field and detecting potential risks or irregularities in the management of company assets.

Serving as the primary communication bridge between the company and external parties, regulators, and shareholders, the Corporate Secretary ensures the company's legal compliance with capital market regulations and manages the administration of important company meetings.
